Terms of Service

These Terms of Service ("Terms") govern your use of the Octoscrap platform ("Platform"), operated by Octoscrap ("we," "us," or "our"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform. We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

Octoscrap is a digital marketplace that connects homeowners and businesses ("Sellers") who have scrap metal materials with collectors ("Collectors") and recyclers ("Recyclers") who purchase and process such materials across Nigeria.

The Platform facilitates the listing, discovery, negotiation, and completion of scrap metal transactions. Octoscrap is not a party to any transaction between users and does not buy or sell scrap metal directly.

Homeowners/Sellers may list scrap materials for sale, review and accept offers from Collectors, and confirm pickup of materials. Sellers are responsible for ensuring their listings accurately describe the materials on offer.

Collectors may browse listings, submit binding offers to Sellers, and arrange pickup of accepted materials. Collectors who are verified have undergone identity verification. Unverified Collectors may browse but may have limited ability to make offers.

Recyclers may access bulk purchasing features, post buy orders, and manage supplier relationships through the Platform.

All users must: (a) provide accurate registration information; (b) maintain the security of their account; (c) comply with all applicable Nigerian laws; and (d) treat other users with respect.

When creating a listing, Sellers must:

• Provide accurate descriptions of materials, including type, approximate weight, and condition
• Only list materials they own or have authority to sell
• Respond to accepted offers within a reasonable time
• Not list prohibited items (see Section 8)

Octoscrap reserves the right to remove any listing that violates these rules without prior notice.

When a Collector's offer is accepted by a Seller, both parties enter a binding agreement to complete the transaction at the agreed price. Parties are expected to honour confirmed pickups and may be subject to account restrictions for repeated cancellations.

Final transaction amounts are confirmed upon pickup completion. Disputes about weight, quantity, or condition must be raised before the pickup is confirmed as complete in the app.

Octoscrap is not responsible for the safe transfer of funds between parties. Users transact at their own risk and are advised to exercise normal precautions when meeting for pickups.

Octoscrap does not currently charge transaction fees to Sellers or Collectors. Future fee structures, if introduced, will be communicated to users in advance with at least 30 days' notice.

Payments between Sellers and Collectors occur directly between the parties. Octoscrap does not process, hold, or guarantee any payments.

Collectors are required to complete identity verification before making offers on listings. Verification involves submitting a government-issued ID (NIN, BVN, Driver's License, Voter's Card, or International Passport).

Verification is reviewed by Octoscrap administrators. Approval is at our discretion. Providing false verification documents is grounds for immediate account termination and may be reported to relevant authorities.

Users must not:

• List stolen, government, or utility company property (cables, manhole covers, railway materials, etc.)
• Provide false or misleading information in listings or during verification
• Harass, threaten, or defraud other users
• Attempt to circumvent the Platform to transact outside it after initial contact
• Create multiple accounts to evade restrictions
• Use the Platform for any purpose that violates Nigerian law

Violation of these rules may result in immediate account suspension or termination.

To the fullest extent permitted by applicable law, Octoscrap shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill.

Octoscrap's total liability for any claim arising from use of the Platform shall not exceed ₦50,000. We make no warranties, express or implied, regarding the Platform's availability, accuracy, or fitness for a particular purpose.

If a dispute arises between users, parties should first attempt to resolve it directly. If resolution is not possible, users may escalate the dispute to Octoscrap by contacting octoscrap@gmail.com.

Octoscrap may, at its discretion, mediate between parties but is not obligated to do so and cannot guarantee resolution. Octoscrap's decision in mediated disputes is final.

You may close your account at any time by contacting octoscrap@gmail.com. We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate.

Upon termination, your right to use the Platform ceases immediately. Listings and transaction history may be retained for legal and compliance purposes.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.
